1. Agreement to Terms

By downloading, installing, or using AddressBookManager (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and iPhone Tools ("we", "us", or "our").

2. Description of Service

AddressBookManager is an iOS application that provides contacts management, backup, and comparison features. The App allows users to:

  • Create backups of iPhone contacts locally
  • Compare and analyze contacts data
  • Import contacts from various sources (CSV, VCF, Google, Yahoo)
  • Restore and rollback contacts versions
  • Manage duplicate contacts

3. License and Restrictions

3.1 License Grant

Subject to these Terms and applicable App Store terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices you own or control, solely for your personal, non-commercial use.

3.2 Restrictions

You agree NOT to:

  • Modify, reverse engineer, decompile, or disassemble the App
  • Remove any copyright, trademark, or other proprietary notices
  • Use the App for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any portion of the App
  • Interfere with or disrupt the App's functionality
  • Use the App in any manner that could damage, disable, or impair the App
  • Resell, sublicense, or distribute the App to third parties

4. Subscription Terms

4.1 Trial Period

The App offers a 7-day free trial period from the date of installation. During the trial:

  • You have access to most features except Google/Yahoo API imports
  • No payment is required during the trial period
  • The trial is available once per Apple ID
  • Trial status is tracked via device installation date

4.2 Paid Subscriptions

After the trial period, continued use of the App requires a paid subscription:

  • Weekly Subscription: Billed weekly
  • Yearly Subscription: Billed annually at $1.99/year

4.3 Payment and Billing

All subscriptions are processed through Apple's App Store:

  • Payment is charged to your iTunes Account at confirmation of purchase
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage subscriptions and turn off auto-renewal in your App Store Account Settings
  • No refunds for the current subscription period

4.4 Cancellation

You may cancel your subscription at any time through your App Store Account Settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the subscription expires.

5. User Responsibilities

5.1 Account Security

You are responsible for:

  • Maintaining the security of your Apple ID and device
  • All activities that occur under your account
  • Keeping your contact data backed up independently

5.2 Data Backup

While the App provides backup features, you are solely responsible for maintaining your own independent backups of your contacts data. We recommend using multiple backup methods (local, iCloud, etc.) to ensure data safety.

5.3 Third-Party Services

If you use Google or Yahoo import features, you are responsible for:

  • Complying with their respective terms of service
  • Managing OAuth permissions and access tokens
  • Understanding their data handling practices

6. Disclaimers and Limitations of Liability

6.1 No Warranty

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The App is free of viruses or harmful components
  • Data backups will be successful or recoverable in all circumstances

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IPHONE TOOLS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF CONTACTS DATA, LOSS OF PROFITS, OR LOSS OF USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

Our total liability to you for all claims related to the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

7. Data and Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we handle data.

Key points:

  • We do not collect or store your contacts data on our servers
  • All data is stored locally on your device
  • You retain full control over your data

8. Intellectual Property

The App, including all content, features, functionality, source code, and user interface, is owned by iPhone Tools and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

AddressBookManager, iPhone Tools, and associated logos are trademarks of iPhone Tools. You may not use these marks without our prior written permission.

9. Apple App Store Terms

These Terms are between you and iPhone Tools, not Apple. Apple has no obligation to provide maintenance or support for the App. You agree that:

  • Apple is not responsible for the App or its content
  • Apple has no warranty obligations regarding the App
  • Apple is not responsible for addressing claims related to the App
  • Apple is a third-party beneficiary of these Terms and may enforce them

Your use of the App must comply with Apple's App Store Terms of Service.

10. Updates and Changes

10.1 App Updates

We may release updates, new features, or bug fixes at any time. Updates may be required for continued use of the App. You are responsible for maintaining compatible iOS versions.

10.2 Terms Changes

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Providing in-app notification (for significant changes)

Continued use of the App after changes constitutes acceptance of the updated Terms.

11. Termination

11.1 Termination by You

You may terminate these Terms at any time by:

  • Deleting the App from your device
  • Canceling your subscription through the App Store

11.2 Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice, if you breach these Terms or engage in fraudulent, illegal, or abusive conduct.

11.3 Effect of Termination

Upon termination:

  • Your license to use the App terminates immediately
  • You must delete the App from all devices
  • Local data remains on your device until manually deleted
  • No refunds will be provided for remaining subscription periods

12. Indemnification

You agree to indemnify and hold harmless iPhone Tools and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of third-party services (Google, Yahoo, etc.)

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where iPhone Tools operates, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or the App shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in courts of competent jurisdiction.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iPhone Tools regarding the App.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.5 Export Compliance

The App may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.
